These Terms of Service ("Terms") govern your access to and use of the websites, mobile and web applications, and services (collectively, the "Service") provided by LIGUE INC ("Ligue," "we," "us," or "our"), a company located at 2125 Biscayne Blvd, Ste 303, Miami, FL 33137. The Service is offered through ligue.app, portal.ligue.app, and related domains and applications.
PLEASE READ THESE TERMS CAREFULLY. By accessing or using the Service, creating an account, or clicking to accept these Terms, you agree to be bound by them. If you do not agree, do not use the Service.
These Terms contain a binding arbitration provision and class-action waiver (Section 18) that affect your legal rights. Please review them carefully.
1. Who May Use the Service
1.1 Account Types and Roles
The Service supports several types of users, including:
- Organizations — sports leagues, clubs, academies, tournament hosts, camps, schools, and similar entities that register to operate on the platform ("Organizations").
- Administrators and Staff — individuals authorized to manage an Organization, including coaches and personnel.
- Participants — players, athletes, and other members of an Organization.
- Parents and Guardians — adults who manage accounts for, or receive information about, minor participants.
1.2 Eligibility
You must be at least 18 years old to create an account on your own, register an Organization, enter into payment arrangements, or otherwise contract through the Service. By doing any of these, you represent that you are 18 or older and have the legal authority to enter into these Terms.
1.3 How Accounts Are Created
Self-registration is available only for individuals creating an Organization account. All other users — including administrators, coaches, staff, players, and parents — join the Service by invitation from an Organization and cannot self-register. During signup, users are asked to provide their date of birth to confirm eligibility (see Section 1.4).
1.4 Minors and Date-of-Birth Verification
The Service is used in connection with youth and amateur sports and may involve participants who are minors. To protect minors, the Service collects each user's date of birth during signup and does not permit anyone under 18 to create or independently complete their own account. If a user indicates they are under 18, the Service requires a parent's or guardian's email address, and the parent or guardian must complete the registration and provide the required consent before the minor's account becomes active. By completing a minor's registration, a parent or guardian represents that they are the minor's parent or legal guardian, that they have the legal right to provide the minor's information, and that they consent to these Terms on the minor's behalf. See our Privacy Policy for details on how we handle children's information.
1.5 Authority to Bind an Organization
If you use the Service on behalf of an Organization, you represent that you are authorized to bind that Organization to these Terms, and "you" refers to both you and that Organization.
2. The Service
Ligue provides software that helps sports organizations operate leagues, tournaments, camps, and related programs. Features may include registration, scheduling, live standings and statistics, team and individual communications, payment collection and fee management, a marketplace for merchandise and add-ons, livestreaming, and verification tools such as age verification and background-check facilitation. We may add, modify, or remove features at any time. We do not guarantee that any particular feature will always be available.
Ligue's role. Ligue provides the software and tools only. We do not organize, host, supervise, or operate any league, event, program, payment, communication, or in-person activity, and we are not a party to the relationships or transactions between Organizations and their participants, coaches, staff, or families. Certain features are delivered through third-party providers — for example, Stripe for payments, Twilio for SMS/text messaging, SendGrid for email delivery, and a third-party background-check provider for screening. These providers operate under their own terms and privacy policies, and Ligue is not responsible for their services.
3. Accounts and Security
You agree to provide accurate, current, and complete information when you register and to keep it updated. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You must promptly notify us at Support@ligue.app of any unauthorized use or suspected security breach. We are not liable for any loss arising from unauthorized use of your account that results from your failure to maintain security.
4. Organization Responsibilities
If you operate an Organization on the Service, you are solely responsible for:
- The accuracy and lawfulness of the programs, events, prices, schedules, and content you create;
- Obtaining all necessary consents, waivers, releases, and parental or guardian permissions from your participants and their families, including consent to collect and process personal information and to be included in livestreams, photos, statistics, and communications;
- Complying with all laws and rules applicable to your activities, including those governing youth sports, safety, background screening, data protection, consumer protection, and the collection of fees;
- Setting and honoring your own registration, refund, cancellation, and code-of-conduct policies and communicating them to your participants;
- Determining the suitability of, and decisions regarding, any coach, volunteer, staff member, or participant within your Organization.
Ligue acts as a software provider only. We do not organize, supervise, or assume responsibility for any league, event, team, or in-person activity.
5. Payments, Fees, and Payouts
5.1 Payment Processing
Payments made through the Service — including registration fees, camp and program fees, marketplace purchases, and other charges — are processed by Stripe, Inc. ("Stripe"), our third-party payment processor. By using payment features, you agree to be bound by the Stripe Services Agreement and the Stripe Connected Account Agreement, as applicable, and you authorize Stripe and Ligue to charge your selected payment method. Payment-card data is collected and processed directly by Stripe; Ligue does not receive or store full payment-card numbers.
5.2 Platform Fees
We may charge Organizations service fees, transaction fees, or subscription fees for use of the Service. Applicable fees will be disclosed to you before you incur them. Unless required by law or expressly stated otherwise, fees are non-refundable.
5.3 Payouts to Organizations
Where the Service enables an Organization to collect funds from participants, payments are processed through Stripe Connect and payouts are made to the Organization's connected Stripe account, subject to Stripe's onboarding, identity-verification, and payout requirements. To receive payouts, an Organization must create a Stripe connected account and agree to the Stripe Connected Account Agreement. Funds are held and disbursed by Stripe, not by Ligue. Ligue is not a bank, money transmitter, or escrow agent, and does not take custody of or hold funds collected on behalf of an Organization.
5.4 Refunds Between Organizations and Participants
Refunds, cancellations, chargebacks, and disputes relating to registrations, programs, or marketplace purchases are governed by the policies of the Organization that sold them. Ligue is not a party to those transactions and is not responsible for issuing refunds for an Organization's programs or merchandise. Participants should direct refund requests to the relevant Organization.
5.5 Taxes
You are responsible for determining, collecting, reporting, and remitting any taxes applicable to your transactions on the Service.
6. Marketplace and Merchandise
Organizations may use the Service to list and sell merchandise, gear, and registration add-ons. The selling Organization is solely responsible for its listings, product descriptions, pricing, fulfillment, shipping, returns, and compliance with applicable law. Ligue provides the technology that facilitates these sales but is not the seller and does not guarantee any product or transaction.
7. User Content
7.1 Your Content
The Service lets you submit, upload, post, or transmit content, including messages, team and player information, photos, video, livestreams, statistics, logos, and other materials ("User Content"). You retain ownership of your User Content.
7.2 License to Ligue
You grant Ligue a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting and display), distribute, and display your User Content solely as necessary to operate, provide, and improve the Service. This license ends when your User Content is deleted, except for content retained in backups for a limited period or as required by law, and except for content you have shared with others who have not deleted it.
7.3 Your Responsibility
You represent that you own or have the necessary rights and permissions to your User Content and that it does not violate any law or third-party right. You are responsible for obtaining consent from any identifiable individual (including minors, through their parents or guardians) before submitting their image, likeness, personal information, or performance data.
8. Livestreaming
If you use livestreaming features, you are responsible for ensuring you have all rights and consents necessary to broadcast the relevant games, participants, and venues, including consent for any minors who appear. You must comply with all applicable privacy, publicity, and venue rules. Ligue may impose technical limits on streaming and may remove or interrupt streams that violate these Terms or applicable law.
9. Verification and Background Checks
The Service integrates, through application programming interfaces ("APIs"), with a third-party background-check provider (the "Background Check Provider") that performs background screening and acts as a consumer reporting agency. At their option, an Organization's owner or authorized administrator may initiate a background check on a coach, volunteer, staff member, or other individual through the Service. When a check is initiated, Ligue transmits the relevant information to the Background Check Provider and returns the results to the requesting Organization. Ligue does not perform background checks, does not act as a consumer reporting agency, and does not prepare, compile, or furnish consumer reports.
You acknowledge and agree that:
- Background checks are performed by the Background Check Provider and are subject to that provider's own terms, privacy policy, and data sources; Ligue acts solely as a technical conduit;
- Whether to run a background check is the Organization's decision, and the Organization is the end user that requests and uses the resulting report;
- Background checks and verifications may be incomplete, delayed, or inaccurate, and a clear or completed check is not a guarantee of any person's safety, fitness, character, or suitability;
- Ligue does not make, and is not responsible for, any decision to permit or exclude any individual from participation based on a check or its results;
- The Organization is solely responsible for complying with all laws applicable to its use of background checks, including the Fair Credit Reporting Act ("FCRA") and any state or local equivalents — including providing any required disclosures, obtaining the individual's written authorization before a check is run, and following adverse-action procedures if it takes action based on a report;
- The Organization remains solely responsible for vetting and supervising coaches, volunteers, staff, and participants, regardless of whether a check was run.
Ligue expressly disclaims liability for the accuracy, completeness, or use of any background check, and for the conduct of any user, participant, coach, volunteer, or third party, whether or not a check was performed.
10. Acceptable Use
You agree not to:
- Use the Service for any unlawful, harmful, fraudulent, or abusive purpose;
- Harass, threaten, abuse, or harm any person, including minors;
- Upload content that is illegal, defamatory, obscene, sexually explicit, exploitative of minors, infringing, or that violates anyone's privacy or rights;
- Attempt to gain unauthorized access to the Service, other accounts, or our systems;
- Interfere with or disrupt the Service, introduce malware, or circumvent security or usage limits;
- Scrape, harvest, or collect data from the Service except as expressly permitted;
- Misrepresent your identity, role, or affiliation, or use another person's information without authorization;
- Use the Service to send spam or unauthorized communications;
- Resell, sublicense, or commercially exploit the Service except as expressly permitted.
We may investigate and take appropriate action, including removing content and suspending or terminating accounts, for any violation.
11. Communications and Consent
By providing a phone number or email address, you consent to receive Service-related communications, which may include transactional messages, schedule and program updates, and administrative notices. These communications are delivered through third-party providers — Twilio for SMS/text messages and SendGrid for email. Marketing communications are subject to your consent where required, and you may opt out of them by replying STOP to a text, using the unsubscribe link in an email, or contacting us. Message and data rates may apply. Organizations are responsible for ensuring they have the right to contact their participants through the Service.
12. Intellectual Property
The Service, including its software, design, text, graphics, logos, and other materials (excluding User Content), is owned by Ligue or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. "Ligue," the Ligue logo, and related marks are trademarks of LIGUE INC. You may not use them without our prior written permission. We welcome feedback, and you grant us the right to use any feedback you provide without restriction or compensation.
13. Third-Party Services
The Service may integrate with or link to third-party services, such as Stripe (payments), Twilio (SMS/text messaging), SendGrid (email delivery), a background-check and verification provider, scheduling tools, and streaming infrastructure. We do not control and are not responsible for third-party services, and your use of them may be subject to their own terms and privacy policies.
14. Suspension and Termination
You may stop using the Service at any time and may request deletion of your account by contacting Support@ligue.app. We may suspend or terminate your access, with or without notice, if you violate these Terms, create risk or legal exposure, fail to pay applicable fees, or if we discontinue the Service. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive termination — including payment obligations, content licenses already granted to others, disclaimers, limitations of liability, indemnities, and dispute-resolution terms — will survive.
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DATA, STATISTICS, OR VERIFICATIONS WILL BE ACCURATE OR COMPLETE.
LIGUE IS A SOFTWARE PROVIDER. WE DO NOT OPERATE LEAGUES, EVENTS, OR PROGRAMS, AND WE ARE NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF ANY ORGANIZATION, USER, COACH, VOLUNTEER, PARTICIPANT, OR OTHER THIRD PARTY, OR FOR ANY IN-PERSON ACTIVITY, INJURY, OR HARM. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIGUE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF PLATFORM FEES YOU PAID TO LIGUE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
17. Indemnification
You agree to indemnify, defend, and hold harmless Ligue and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, your Organization's programs or transactions, your violation of these Terms or applicable law, or your violation of any third-party right.
18. Dispute Resolution; Arbitration; Class Waiver
Please read this section carefully — it affects your legal rights.
18.1 Informal Resolution
Before filing a claim, you agree to contact us at Support@ligue.app and attempt to resolve the dispute informally for at least 30 days.
18.2 Binding Arbitration
Except for the exceptions below, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered under the rules of a recognized arbitration provider, conducted in or near Miami-Dade County, Florida, or remotely where permitted. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.
18.3 Class Waiver
You and Ligue agree that claims will be brought only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
18.4 Exceptions
Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for intellectual-property or unauthorized-access matters.
18.5 Opt-Out
You may opt out of arbitration by sending written notice to Support@ligue.app within 30 days of first accepting these Terms. If any portion of this Section 18 is found unenforceable, the remainder will continue to apply, except that the class waiver is non-severable.
19. Governing Law
These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-laws principles. Subject to Section 18, the state and federal courts located in Miami-Dade County, Florida will have exclusive jurisdiction over any matter not subject to arbitration.
20. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means and update the "Last Updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
21. General
These Terms, together with our Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and Ligue regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship.
